Ethics, Environment, Safety and Health Committee Charter
The Ethics, Environment, Safety and Health Committee shall review and monitor the adequacy of the Corporation's policies and procedures, as well as the organizational structure relating to (1) its program on business ethics and conduct, and (2) compliance with environmental laws and regulations and matters concerning health and safety. It will review with the Corporation's management significant environmental litigation and regulatory proceedings in which the Corporation is, or may become involved; and review reporting issues, including the adequacy of disclosure, for environmental matters. The Committee shall have the power to investigate any matter falling within its jurisdiction. All action by the Ethics, Environment, Safety and Health Committee shall be reported to the Board of Directors at its meeting next succeeding such action, and shall be subject to revision and alteration by the Board of Directors.
